Terms of Service

Primordia Clinical Safety LLC — Effective March 17, 2026

1.  Agreement to Terms

By accessing or using the Primordia Clinical Safety website (the "Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or engage our services. These Terms apply to all visitors, clients, and others who access or use the Site.

2.  Nature of Services

Primordia Clinical Safety LLC ("Primordia," "we," "us," or "our") provides independent, third-party clinical safety auditing, botanical verification, and consulting services for wellness and dietary supplement brands. Our services include but are not limited to:

•          Botanical identity verification and ingredient authentication

•          Contaminant screening review and analysis

•          Clinical toxicology and botanical-drug interaction review

•          Claims validation and FDA Structure/Function language review

•          Issuance of the Primordia Safety Assessment (PSA) Brief

 

All services are provided pursuant to a separately executed Service Agreement between Primordia and the client. These Terms govern use of the Site and general engagement with Primordia. They do not supersede any executed Service Agreement.

3.  Not Legal, Regulatory, or Medical Advice

The information provided on this Site and through our services is for informational and clinical assessment purposes only. Nothing on this Site or in any Primordia report, brief, or communication constitutes:

•          Legal advice or legal representation

•          Regulatory approval or clearance by the U.S. Food and Drug Administration (FDA) or any other regulatory body

•          A guarantee of compliance with federal, state, or local laws or regulations

•          Medical advice or a clinical diagnosis

 

Clients are strongly advised to retain qualified legal counsel and regulatory specialists for all compliance, labeling, and regulatory submission matters. Primordia's assessments reflect our independent clinical evaluation at the time of review and do not guarantee that a product will satisfy the requirements of any retailer, insurer, regulatory agency, or other third party.

4.  No FDA Affiliation

Primordia Clinical Safety LLC is an independent consulting firm. We are not affiliated with, endorsed by, approved by, or acting on behalf of the U.S. Food and Drug Administration, the Federal Trade Commission, or any other federal, state, or local regulatory agency. Use of our services does not constitute FDA approval, FDA registration, or any form of government-sanctioned certification.

5.  No Client Relationship Without Signed Agreement

Submitting an inquiry through this Site, requesting a sample audit, or communicating with Primordia via email or any other channel does not establish a client relationship, create any obligation on the part of Primordia, or constitute a binding agreement of any kind. A formal client relationship is established only upon execution of a written Service Agreement signed by both parties.

6.  Limitation of Liability

To the fullest extent permitted by applicable law, Primordia Clinical Safety LLC, its members, officers, employees, consultants, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, including but not limited to:

•          Regulatory enforcement actions or product recalls

•          Retailer rejection of any product

•          Consumer claims or product liability

•          Loss of business, revenue, or reputation

 

In no event shall Primordia's total liability to any client exceed the total fees paid by that client for the specific service giving rise to the claim.

7.  Intellectual Property

All content on this Site — including but not limited to text, logos, graphics, methodology descriptions, and the Primordia Safety Assessment (PSA) Brief format — is the intellectual property of Primordia Clinical Safety LLC and is protected by applicable copyright, trademark, and trade secret laws. No content may be reproduced, distributed, or used for commercial purposes without prior written consent from Primordia.

8.  Confidentiality

Primordia treats all client product information, formulations, and business data as strictly confidential. We do not share, sell, or disclose client information to any third party except as required by law or as expressly authorized in writing by the client. Specific confidentiality obligations will be governed by the executed Service Agreement.

9.  Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas.

10.  Changes to These Terms

Primordia reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
